Registration of a Public Organization and Public Union

Ukrainian law provides for two main organizational and legal forms of public associations: a public organization and a public union.

• A public organization is a public association whose founders and members are individuals.
• A public union is a public association founded by private-law legal entities. Its members may include both legal entities and individuals.

A public association must have at least two founders. The founders of a public organization may be citizens of Ukraine, foreigners, and stateless persons who are legally present in Ukraine and meet the statutory age requirements.

A public association may operate with legal entity status or without it. The choice depends on the planned activities, funding model, employees, bank accounts, grant projects, and contracts.

If the organization plans to receive funds officially, enter into agreements, open bank accounts, hire employees, rent premises, or obtain non-profit status, it is usually advisable to register it as a legal entity.

Registration of a public organization or public union begins not with filing documents but with selecting the correct legal model. At this stage, it is important to determine the structure, operating rules, and powers of the governing bodies.

The charter is the main document of a public association. It defines the internal rules of governance, membership, financing, reporting, decision-making, and termination of activities.

The charter of a public association should include, in particular:

• full name and, where applicable, abbreviated name;
• purpose, objectives, and areas of activity;
• procedure for acquiring and terminating membership, rights and obligations of members;
• powers of the head, supreme governing body, and other bodies;
• procedure for formation and change of governing bodies;
• frequency of meetings and decision-making procedures;
• procedure for reporting by governing bodies to members;
• procedure for appealing decisions, actions, or omissions of governing bodies;
• sources of funds and rules for their use;
• procedure for establishing and terminating separate subdivisions;
• procedure for amending the charter;
• procedure for self-dissolution or reorganization and use of assets after termination.

After the draft charter is prepared, the founders hold a founding meeting. The meeting approves the key decisions: establishment of the public association, approval of the name, purpose, and charter, election of the head and governing bodies, and appointment of the person authorized to carry out registration actions.

The decisions of the founding meeting are recorded in minutes. An integral part of the minutes is the register of persons who participated in the founding meeting. Registration documents must be submitted within 60 days from the date of the founding meeting.

The list of documents depends on the selected form, founders, legal entity status, and the specifics of future activities. Usually, registration of a public organization or public union with legal entity status requires:

• application for state registration;
• minutes of the founding meeting;
• register of persons who participated in the founding meeting;
• charter of the public association;
• information on governing bodies;
• information on the person authorized to carry out registration actions;
• ownership structure and information on ultimate beneficial owners, where applicable;
• Form 1-RN application for inclusion in the Register of Non-Profit Institutions and Organizations, if needed;
• power of attorney or other authorization document if documents are submitted by a representative.

State registration of a public association is free of charge. The standard review period is 3 business days. If necessary, the review period may be extended by the state registration authority, but by no more than 15 business days.

After entry into the Unified State Register, the public association obtains the status of a registered legal entity, an EDRPOU code, and an extract from the register.

For most public organizations and public unions, inclusion in the Register of Non-Profit Institutions and Organizations is important. This status allows the organization to operate as a non-profit entity, receive contributions, grants, charitable assistance, and other funds, provided that the requirements of tax legislation are met.

A newly created organization may submit Form 1-RN to the state registrar during state registration or to the tax authority at its main place of registration within 10 calendar days from the date of state registration. Based on the review, the tax authority decides whether to include the organization in the Register of Non-Profit Institutions and Organizations or refuse inclusion.

Errors made when establishing a public association may complicate its activities after registration. The most common risks include:

• incorrect form selected: public organization instead of public union or vice versa;
• purpose of activity formulated too narrowly;
• charter not compliant with the Law of Ukraine “On Public Associations”;
• mistakes in the minutes of the founding meeting or register of participants;
• incorrect powers of the head and governing bodies;
• absence of provisions required to obtain non-profit status;
• risk of refusal of state registration;
• difficulty with future amendments to the charter or governing bodies.
