Appeal Against Cancellation of VAT Registration
Cancellation of VAT registration may seriously affect the normal operation of a company or individual entrepreneur. The business loses its VAT payer status, the ability to register tax invoices, work properly with VAT counterparties and maintain tax credit continuity. In many situations, such a decision of the tax authority can and should be challenged.
VINCO’S assists with administrative and court appeals against cancellation of VAT registration: we analyse the grounds for cancellation, check the procedure followed by the tax authority, prepare the legal position, complaint or claim, collect evidence of real business activity and represent the client before the tax authorities and courts.
When VAT registration cancellation should be appealed
Legal support is needed not only after receiving the cancellation decision, but also when the business sees a risk of losing VAT status. The earlier the grounds relied on by the tax authority are checked, the higher the chances of preserving operational continuity and preventing further tax consequences.
- the tax authority cancelled VAT registration on its own initiative;
- the business learned about the loss of VAT status from the electronic cabinet or register;
- the tax authority refers to missing VAT returns, absence of taxable transactions or other formal grounds;
- the company disagrees with the conclusions regarding supplies, activity or taxpayer status;
- cancellation occurred during reorganization, liquidation, change of tax regime or amendment of taxpayer data;
- registration of tax invoices stopped or counterparties raised claims after cancellation;
- VAT status must be restored and tax consequences for the business must be minimized.
What cancellation of VAT registration means
Cancellation of VAT registration means removal of a person from the register of VAT payers. From the relevant date, the business loses the right to act as a VAT payer, while transactions, tax invoices, tax credit and counterparty relations require separate review.
Cancellation may be initiated by the taxpayer or made by the tax authority. A tax authority decision usually requires detailed analysis: whether there was a lawful ground, whether it was supported by documents, whether the procedure was followed, whether the date of cancellation was correct and whether the taxpayer was properly notified.
Typical grounds for a dispute with the tax authority
Not every cancellation is unlawful, but many disputes arise from a formal approach of the tax authority, incomplete assessment of the taxpayer’s activity or procedural violations.
- lack of proper supporting documents for the tax authority’s decision;
- incorrect interpretation of missing VAT returns or absence of transactions;
- failure to consider real business activity of the taxpayer;
- cancellation without proper notification or access to the decision;
- errors in determining the VAT cancellation date;
- cancellation due to technical or registration circumstances that should not lead to loss of VAT status;
- failure to consider court decisions, registry data or taxpayer documents;
- violation of the procedure for maintaining the VAT register.
Administrative and court appeal
The decision may be appealed administratively by filing a complaint with a higher-level tax authority or in court by filing an administrative claim. The choice of strategy depends on the ground for cancellation, applicable deadlines, evidence, current business situation and the urgency of restoring VAT status.
In many cases, court appeal is the key remedy because a court decision may cancel an unlawful tax authority decision and provide the basis for amending the VAT register. Before filing a claim, the attorney assesses not only the formal unlawfulness of the decision, but also its practical impact on tax invoices, counterparties, reporting and tax credit.
Main stages of VINCO’S work
- Initial analysis of the tax authority’s cancellation decision and the date of receipt.
- Review of the cancellation grounds under the Tax Code of Ukraine and VAT registration regulations.
- Analysis of the electronic cabinet, VAT register, tax reporting, tax invoices and correspondence with the tax authority.
- Preparation of the legal position regarding unlawfulness or lack of justification for cancellation.
- Preparation of an administrative complaint, request, explanations or attorney inquiry to the tax authority.
- Preparation of an administrative court claim, motions and evidence package.
- Representation of the client during court proceedings.
- Support with enforcement of the decision and restoration of data in the VAT register.
- Advice on further actions regarding tax invoices, VAT returns, counterparties and tax credit.
What we check before appeal
- which ground for cancellation was indicated by the tax authority;
- whether that ground actually existed on the date of the decision;
- whether the tax authority had proper supporting documents;
- whether the cancellation date was determined correctly;
- whether the taxpayer was properly notified of the decision;
- whether VAT returns were filed and whether taxable supplies were made;
- whether there are registered or suspended tax invoices and adjustment calculations;
- whether cancellation affected contracts, tenders, counterparties or financial obligations;
- whether the claim should combine cancellation of the decision and restoration of the registry entry.
Documents that may be required from the client
- tax authority decision on cancellation of VAT registration or information from the electronic cabinet;
- extract or data from the VAT payers register;
- VAT returns for the relevant periods;
- tax invoices, adjustment calculations, receipts and messages from the tax authority;
- contracts, invoices, acts, delivery notes, transport documents and payment documents;
- correspondence with the tax authority, requests, responses, explanations and complaints;
- documents confirming real business activity;
- information about counterparties and disputed transactions;
- court documents or decisions if the dispute has already started.
Risks of delayed appeal
If the business does not respond to cancellation of VAT registration, it may lose not only VAT status but also control over further tax consequences. The risks are particularly serious where the company continues to work with VAT counterparties or has unfinished transactions.
- inability to register tax invoices and adjustment calculations;
- counterparty disputes due to loss of tax credit;
- risk of additional assessments, penalties or claims for the transition period;
- loss of tenders or contracts where VAT status is required;
- need for repeated VAT registration without restoration of the previous status;
- complications in accounting and tax reporting;
- missed deadlines for administrative or court appeal.
