Withdrawal of an LLC Participant and Recovery of Share Value
VINCO’S Legal Company supports participants of Ukrainian limited liability companies in withdrawal procedures, reviews corporate documents, prepares a legal strategy, assists in obtaining the share value calculation, and represents clients in disputes over recovery of the value of their share.
This service is relevant when a participant wants to leave the business, but the company or other participants delay the process, refuse to provide documents, underestimate the share value, avoid calculation, or fail to pay the amount due after withdrawal.
When Legal Support Is Needed
- an LLC participant wants to withdraw from the company and receive the real value of their share;
- the participant owns 50 percent or more and the consent procedure must be checked;
- the company does not disclose the share value or does not provide a justified calculation;
- the director or other participants refuse to provide financial statements or documents on company assets;
- the share value is artificially reduced through asset revaluation, liabilities, related-party transactions, or asset withdrawal;
- the company fails to pay the share value within the statutory or charter-based term;
- a demand letter, negotiation position, or claim before a commercial court must be prepared;
- there is a risk that company assets may be transferred or re-registered before the dispute is resolved.
What Withdrawal from an LLC Means
Withdrawal from an LLC is a corporate procedure where a participant terminates their participation in the company without selling the share to another person. After state registration of the withdrawal, the person loses participant status but retains the right to receive the value of their share.
If the participant’s share is less than 50 percent of the charter capital, they may withdraw at any time without the consent of other participants. If the share is 50 percent or more, consent of the other participants is generally required unless the charter allows withdrawal without such consent.
The participant is deemed to have withdrawn from the company from the date of state registration of the withdrawal. After that, the practical issue becomes the amount payable to the former participant and how to compel the company to pay it.
What Can Be Recovered
The main claim in such disputes is recovery of the value of the participant’s share in the LLC charter capital. The value is not limited to the nominal amount stated in the charter capital; it should reflect the market value of all company shares proportionally to the participant’s share.
Depending on the case, the claim may also include demands for access to documents, recognition of an incorrect calculation, expert valuation, debt recovery, inflation adjustment, interest, or other amounts where legal grounds and evidence exist.
Key Legal Issues in the Dispute
- whether the participant had the right to withdraw without consent of other participants;
- whether the withdrawal application was properly prepared and submitted;
- the date from which the participant is considered to have withdrawn;
- which version of the charter was effective at the time of withdrawal;
- the payment term established by law or the charter;
- which documents the company must provide for share valuation;
- whether the company’s calculation is understated or unsupported;
- whether court expert examination or an independent appraiser is required;
- whether there is a risk of asset withdrawal or impossibility of enforcing the future judgment.
Share Valuation and Financial Documents
The most complex part of the dispute is determining the real value of the share. This requires review of financial statements, balance sheets, assets, liabilities, receivables and payables, real estate, equipment, inventories, corporate rights, cash, related-party transactions, and other indicators of the company’s activity.
If the company refuses to provide documents or the calculation is formal, the attorney builds an evidentiary basis for obtaining documents, substantiating market value, and requesting a court expert examination. In corporate conflicts, the quality of financial evidence often determines the outcome of the case.
Court Recovery of Share Value
If the company does not voluntarily pay the share value, the dispute is resolved by a commercial court. The litigation strategy depends on whether the payment term has expired, whether the company provided a calculation, whether financial documents are available, whether the withdrawal date is disputed, and whether company assets need to be protected.
In complex disputes, several tracks should be pursued simultaneously: collecting registration and financial documents, sending attorney requests, documenting refusals, preparing an expert position, reviewing movement of assets, and, where necessary, applying for interim measures.
Stages of Cooperation with VINCO’S

- Analysis of the charter, share size, registration history, and corporate documents.
- Determination of the correct withdrawal mechanism: without consent, with consent, or under special charter provisions.
- Preparation of the withdrawal application, demand letters, attorney requests, or notices to the company.
- Review of financial statements, assets, liabilities, and preliminary share value calculations.
- Development of a legal position regarding the recoverable amount and evidence.
- Pre-court negotiations with the company or other participants.
- Preparation of the claim and applications for preservation of evidence or interim relief where necessary.
- Representation in commercial court.
- Support with enforcement of the judgment and actual recovery of funds.
Documents and Information Required from the Client
- current and previous versions of the LLC charter;
- extracts from the Unified State Register and registration history of the company;
- documents confirming the participant’s share size;
- withdrawal application, evidence of submission, and documents confirming state registration of withdrawal;
- minutes of general meetings, corporate agreements, correspondence with the company and other participants;
- financial statements, balance sheets, bank documents, contracts, acts, information on assets and debts;
- the share value calculation, if provided by the company;
- evidence of refusal to pay, delay in calculation, or refusal to provide documents.
Risks of Acting Without Legal Support
- incorrect preparation of the withdrawal application or missing a procedural step;
- loss of evidence proving submission of the application and the date of withdrawal;
- acceptance of an understated share value without verifying financial documents;
- inability to obtain documents needed for valuation;
- delays caused by incorrectly formulated court claims;
- risk of asset withdrawal before a court decision is issued;
- difficulty enforcing the judgment if the company’s asset position was not assessed in advance.
How VINCO’S Can Help
VINCO’S will help an LLC participant withdraw properly, verify the legality of the procedure, obtain documents required for valuation, assess the real share value, build negotiation and litigation strategies, prepare the claim, and provide professional representation in commercial court.
The goal is not only to formalize the participant’s withdrawal, but to secure actual payment of a fair share value and minimize the risks of asset understatement, procedural delay, or non-enforcement of the court decision.
