Protection of an LLC Participant in a Corporate Conflict
VINCO’S Legal Company represents participants of Ukrainian limited liability companies in corporate conflicts: from reviewing the company structure and negotiating between partners to interim measures, cancellation of unlawful registration actions, and court representation.
A corporate conflict in an LLC often arises when trust between business partners is lost, one party blocks company management, refuses access to documents, changes the director, holds meetings without proper notice, or attempts to redistribute control over the company.
When an LLC participant needs legal protection
Legal support should not begin only after control over the company has already been lost. In many cases, protection must start at the first signs of a conflict, because mistakes with deadlines, evidence, or interim measures may make it much harder to restore the participant’s rights later.
- another participant is excluded from company management or effectively removed from decision-making;
- general meetings are held without proper notice or in breach of the procedure set out by law or the charter;
- changes appear in the Unified State Register regarding the director, participants, address, charter, or shareholding without the participant’s consent;
- the participant is denied access to company documents, financial data, or accounting information;
- profit is distributed non-transparently, dividends are not paid, or company funds are transferred to related parties;
- a participant is being pressured to sell their share or leave the business on unfavorable terms;
- it is necessary to block unlawful registration actions, change of director, or alienation of a share;
- partners have a conflict regarding management, financing, contributions, debts, or the future business model.
What protection of corporate rights means
Protection of an LLC participant is a set of legal actions aimed at preserving or restoring corporate rights: the right to participate in company management, vote at general meetings, receive information about the company’s activities, participate in profit distribution, dispose of a share, and challenge unlawful decisions of company bodies.
In a corporate conflict, it is important not to rely on a single claim. A parallel strategy is often needed: recording violations, reviewing registration history, sending formal demands, preparing evidence, requesting interim measures, negotiating, mediating between partners, or litigating the dispute.
Typical corporate conflicts between LLC participants
- challenging decisions of the general meeting of LLC participants;
- unlawful change of director or restriction of the lawful director’s access to company management;
- change of participants, shareholding structure, or charter without proper consent;
- alienation of a share in breach of the pre-emptive right of other participants;
- concealment of documents, financial statements, contracts, bank transactions, or information about assets;
- blocking company operations due to a conflict between participants with equal or close shareholdings;
- conflicts regarding additional contributions, increase of charter capital, or dilution of a participant’s share;
- disputes over dividends, profit distribution, or withdrawal of company assets;
- raider-like actions through a state registrar, notary, forged documents, or questionable meeting minutes.
What VINCO’S reviews
At the first stage, we identify the legal structure of the conflict and determine which participant’s right has been violated, which documents prove the violation, and which remedy is most effective.
- the current charter, corporate agreement, minutes, decisions, and participant registers;
- shareholding structure, history of contributions, changes in participants, and charter capital;
- procedure for convening and holding general meetings, quorum, voting, and notice to participants;
- registration actions in the Unified State Register, underlying documents, and the role of the registrar or notary;
- powers of the director, signatories, representatives, executive body members, and persons who actually control the company;
- risk of share alienation, change of director, change of address, asset withdrawal, or account blocking;
- prospects of administrative, court, negotiation, or combined protection strategy.
Court and pre-trial strategy
The strategy depends on the client’s goal. For one participant, the key objective may be to regain control over the company; for another, to receive the fair value of their share; for another, to block unlawful actions by a business partner or prepare a structured exit from the business.
Possible remedies include invalidation of general meeting decisions, cancellation of registration actions, obtaining company documents, obliging the company to provide information, prohibiting registration actions, recognition of rights to a share, recovery of share value, damages, or a settlement between participants.
We pay special attention to interim measures. In urgent situations, it may be necessary to prohibit registration actions, changing the director, alienating a share, amending the charter, or taking other actions that could make enforcement of a future court decision more difficult.
Evidence in a corporate conflict
- extract from the Unified State Register, history of registration actions, and copies of documents from the registration file;
- charter, corporate agreement, minutes, decisions, notices of meetings, and attendance registers;
- evidence of improper notice, forged signatures, or breach of voting procedure;
- correspondence between participants, the director, accounting team, counterparties, bank, registrar, or notary;
- financial statements, bank statements, contracts, acts, primary documents, and evidence of asset withdrawal;
- documents on contributions, share sale, pre-emptive right, inheritance of a share, or division of marital property;
- court orders, requests, responses from state authorities, notarial documents, and electronic evidence.
Risks of self-defense
- missing the limitation period or choosing the wrong legal remedy;
- filing a claim without interim measures when the opponent can still change the director, shares, or charter;
- challenging only one document while the violation consists of a chain of decisions and registration actions;
- lack of evidence regarding notice, quorum, voting, signatures, or actual impact on the participant’s rights;
- losing time in negotiations while the other side carries out new registration actions or withdraws assets;
- weakening the negotiating position through emotional letters, careless messages, or unprepared meetings.
