Invalidation of Decisions of the General Meeting of LLC Participants

VINCO’S Legal Company supports corporate disputes involving the invalidation of decisions of the general meeting of LLC participants, including analysis of procedural violations, preparation of the legal position, filing of the claim, interim measures and representation before the commercial court.

When This Service Is Needed

A decision of the general meeting of LLC participants may affect the company’s management, director, charter, shareholding structure, profit distribution, corporate rights or control over the business. If such a decision was adopted in violation of the law, the charter or the rights of a participant, it may be challenged in court.

Typical disputes arise when a participant was not properly notified of the meeting, the meeting was held without the required votes, the agenda was changed unlawfully, signatures were forged, the protocol contains false information, or the decision was used to change the director or control over the company.

Typical Grounds for Challenging a Decision

  • failure to properly notify a participant of the meeting;
  • violation of the procedure for convening and holding the meeting;
  • absence of the required quorum or number of votes;
  • consideration of matters not included in the agenda;
  • voting by a person without proper authority;
  • violation of the company charter or the competence of governing bodies;
  • false information in the minutes or attendance register;
  • forged signatures or manipulated corporate documents;
  • unlawful registration changes following the meeting;
  • violation of a participant’s right to participate in company management.

What Invalidation Means

Invalidation of a general meeting decision means that the court establishes the legal defect of that decision due to a violation of the law, the charter or the corporate rights of a participant. Mere disagreement with the voting result is usually not enough. The claimant must show which right was violated and why the violation is legally significant.

The court examines not only the wording of the minutes but also the procedure for convening the meeting, notices, agenda, powers of representatives, voting results, charter provisions, registration changes and the practical consequences for the participant and the company.

Limitation Period

Ukrainian law provides a special one-year limitation period for claims seeking invalidation of a company’s general meeting decision. For this reason, such disputes require quick action: obtaining documents, fixing evidence, checking the Unified State Register and preparing the claim without delay.

What VINCO’S Checks Before Filing a Claim

  • current charter and governance model of the LLC;
  • participants, shareholding structure and voting rights as of the meeting date;
  • procedure for convening the meeting and proof of notification;
  • agenda, minutes, attendance register and voting documents;
  • authority of the director, representatives and signatories;
  • subsequent registration changes in the Unified State Register;
  • need for interim measures to prevent further registration changes;
  • legal consequences that must be eliminated together with invalidation of the decision.

Interim Measures

In corporate disputes, time is critical. Following one unlawful decision, opponents may carry out new registration actions, change the director, amend the charter or transfer effective control over the company. Therefore, in appropriate cases, VINCO’S prepares and files an application for interim measures together with or before the claim.

Such measures may include a prohibition on certain registration actions, restrictions on changing the director, participants, charter or other corporate data, and other measures aimed at preserving the corporate status quo until the dispute is resolved.

Documents and Information Required from the Client

  • current extract from the Unified State Register or company details;
  • current charter or information that the company operates under a model charter;
  • minutes of the general meeting, decisions, attendance register and voting materials;
  • notices of the meeting and proof of delivery or evidence of non-delivery;
  • documents confirming the claimant’s share and corporate rights;
  • correspondence between participants, the director, registrar, notary or counterparties;
  • extracts from the Unified State Register before and after the disputed decision;
  • information on subsequent changes: director, address, charter, participants, shares or bank access.

Stages of Work with VINCO’S

  1. Initial consultation and definition of the dispute objective.
  2. Analysis of the charter, corporate history, meeting documents and registration data.
  3. Preparation of the legal strategy, defendants, third parties and claims.
  4. Preparation of interim measures if there is a risk of further registration or asset-related actions.
  5. Preparation and filing of the claim with the commercial court.
  6. Representation in court and preparation of motions, explanations, replies and objections.
  7. Work with evidence, including corporate documents, signatures, registration materials and correspondence.
  8. Support with enforcement of the court decision and correction of company registration data, if required.

Risks of Acting Without Legal Support

  • missing the special limitation period;
  • incorrect identification of the defendant or court jurisdiction;
  • failure to prove which corporate right was violated;
  • insufficient evidence of improper notice or procedural breach;
  • absence of interim measures while opponents continue registration changes;
  • court decision that does not eliminate all consequences of the unlawful meeting decision;
  • parallel disputes over the director, share, sale agreement or registration actions.
