Other Changes to Company Information

In the course of business operations, a company may regularly need to update its information: registered address, participants, director, business activities, contact details, charter capital, signatories, or other data contained in the Unified State Register of Legal Entities, Individual Entrepreneurs and Public Formations.

Such changes must be properly documented internally and, where required, registered in the Unified State Register. Errors in corporate documents, discrepancies between the charter and the actual management structure, or delayed updates may create issues with banks, tax authorities, counterparties, notaries, and state registrars.

VINCO’S Legal Company helps businesses promptly and correctly amend company information, prepare the necessary documents, arrange notarization, and complete state registration of changes.

What Changes Can Be Registered?

We assist with various amendments to company information, including:

  • change of the full or abbreviated company name;
  • change of the company’s registered address;
  • change of the amount of charter capital, contributed capital, or share fund;
  • change of information on the company’s governing bodies;
  • change of director or information about the director;
  • change of signatories – persons authorized to act on behalf of the company without a power of attorney, including signing contracts;
  • change of persons authorized to submit documents for state registration;
  • change of founders or participants of the legal entity;
  • change of information about founders or participants;
  • recording succession information in case of spin-off, merger, transformation, or other reorganization procedures;
  • change of the company’s business activity codes;
  • change of contact information for communication with the legal entity;
  • other changes that must be reflected in the Unified State Register or constitutional documents.

Why Is Proper Registration Important?

A seemingly simple registration action may have corporate, tax, banking, and contractual consequences. For example, a change of director affects signing authority, a change of address affects communication with public authorities and counterparties, a change of business activity codes may affect the tax model and the ability to conduct certain activities, and a change of participants affects the control structure of the business.

Before filing documents, it is therefore important to review the charter, corporate structure, current register data, powers of the decision-making body, and the need for notarization of signatures or transactions.

Stages of Cooperation with VINCO’S

  1.    Consultation and determination of the list of changes to be made.
  2.   Review of the current charter, register data, and corporate structure.
  3.   Signing a legal services agreement.
  4.   Preparation of decisions, minutes, applications, a new version of the charter, or other documents depending on the type of changes.
  5.   Arranging notarization of documents, where required.
  6.   Completing state registration of changes.
  7.   Obtaining updated registration documents and handing them over to the client.
  8.   Providing recommendations on further steps: bank, tax authority, counterparties, seal, electronic signatures, and internal documents.

Documents and Information Required from the Client

To prepare the documents, the following information is usually required:

  • the latest version of the charter in electronic format;
  • an extract or up-to-date information from the Unified State Register;
  • details of founders or participants: passport and taxpayer registration number for individuals or company registration code for legal entities;
  • information on the changes to be made;
  • details of the new director, signatory, participant, or other person if the changes concern personal composition;
  • a VINCO’S questionnaire sent to the client after the initial consultation.

Indicative Cost of Services

The cost of legal support depends on the number of changes, the complexity of the corporate structure, the need to prepare a new version of the charter, notarization, and support during state registration.
