Change of the Legal Address of a Legal Entity

VINCO’S Legal Company assists clients with changing the registered address of legal entities in the Unified State Register, preparing documents, arranging notarization, and supporting the state registration of changes.

In business practice, the term “legal address” is commonly used. From a legal perspective, the correct term is the “registered location of a legal entity”. This information is reflected in the Unified State Register and is used for official correspondence, tax records, banking procedures, licensing documents, and communication with counterparties.

When Is It Necessary to Change the Legal Address?

A change of legal address may be required when a company moves to another office, changes its city or district of operations, terminates the lease of the previous premises, purchases its own office, restructures its business, or needs to bring its registration data in line with the actual place of business.

If the company’s registered location changes, the relevant information must be updated in the Unified State Register. Otherwise, the company may fail to receive important correspondence, notices from public authorities, court documents, or letters from counterparties.

What Should Be Considered?

  • Decision of participants or owner. The change is usually approved by minutes of the general meeting or a decision of the sole participant.
  • Company charter. If the address is stated directly in the charter, a new version of the charter or amendments to it may be required.
  • State registration. The change becomes legally effective after the relevant information is entered into the Unified State Register.
  • Tax records. If the territorial community or tax authority changes, tax records are updated based on the Unified State Register; however, certain taxes may still be paid at the previous location until the end of the budget year.
  • Banks and counterparties. After registration, it is advisable to notify the bank, key counterparties, landlords, licensing authorities, and other partners.
  • Licenses and permits. If the company conducts licensed activities, it is necessary to check whether the change of address requires updating the licensing information.
  • Correspondence and website. The new address should be updated in contracts, invoices, the website, public registers, and company document templates.

Risks of Not Updating the Legal Address

  • failure to receive official letters, claims, notices, or court documents;
  • complications in communication with tax authorities, banks, and counterparties;
  • risk of missing deadlines for responding to important documents;
  • inconsistency of data in contracts, licenses, bank forms, and the Unified State Register;
  • possible difficulties when opening accounts, passing compliance checks, or participating in tenders.

Stages of Cooperation with VINCO’S

  • Consultation on the change of legal address and assessment of required actions.
  •  Review of the charter and determination of whether a new version is required.
  •  Preparation of minutes or a participant’s decision, application, and other documents.
  •  Arranging the signing of documents and notarization of signatures.
  •  Filing documents with the state registrar or notary.
  •  State registration of the change of registered location in the Unified State Register.
  •  Obtaining an extract or confirmation of the registered changes.
  •  Providing practical recommendations on further actions: bank, tax authority, counterparties, licenses, and website updates.

Documents and Information Required from the Client

  • current version of the charter in electronic format;
  • details of the company participants: passport and taxpayer number for individuals, or registration code for legal entities;
  • information about the new legal address;
  • documents confirming the right to use the premises, where required for the specific case;
  • information about the director or person authorized to sign documents;
  • existing licenses or permits, if the company conducts licensed activities.
