Change of Legal Entity Name

The name of a legal entity is one of the key elements of its identification in business, contracts, banking documents, tax reporting, registers, and public communication. A company name change may be part of rebranding, business sale, change of business direction, investor entry, or adjustment of corporate documents to a new business model.

Changing the name of an LLC, private enterprise, joint-stock company, or another legal entity is subject to state registration. After the changes are entered into the Unified State Register, it is important to update internal documents, notify counterparties, and, if necessary, update bank details, the company seal, electronic signature keys, licenses, permits, and related registration data.

When may a company name change be required?

  • rebranding or change of market positioning;
  • sale of corporate rights or change of business owners;
  • entry of an investor or strategic partner;
  • change of the main business activity or expansion into new markets;
  • need for a clearer, more modern, or commercially attractive name;
  • elimination of risks related to conflict with existing companies or trademarks;
  • bringing the company name into compliance with legal requirements.

What should be considered when choosing a new name?

Before preparing documents, it is important to check not only whether the new name can be registered in the Unified State Register, but also whether its further use may create legal or commercial risks.

  • Uniqueness of the name. The name must not be identical to the name of another legal entity with the same legal form.
  • Legal form. The full name must include the legal form, for example: limited liability company, private enterprise, or joint-stock company.
  • Language of the name. A legal entity must have a name in Ukrainian. A foreign-language name may also be used additionally.
  • Permitted symbols. Only letters, numbers, and symbols allowed by law may be used in the name.
  • Full and abbreviated name. A company may have full and abbreviated names in Ukrainian, as well as full and abbreviated names in a foreign language.
  • Restrictions on wording. A private legal entity must not create the impression of affiliation with state authorities, ministries, agencies, or other organizations if such affiliation does not exist.
  • Trademark clearance. Even if a name is formally available in the Unified State Register, it may conflict with the rights of a trademark owner. Therefore, it is advisable to check the designation from an intellectual property perspective before changing the name.

Stages of changing a legal entity name

  1. Consultation and analysis of the company’s current situation.
  2. Checking the desired name in the Unified State Register and, if necessary, in trademark databases.
  3. Preparation of a participants’ resolution, minutes of the general meeting, or sole shareholder/member decision.
  4. Preparation of a new version of the charter or amendments to the charter, if required.
  5. Signing the documents and notarizing signatures where required by law.
  6. Submission of documents to a state registrar or notary.
  7. State registration of the company name change.
  8. Obtaining an updated extract or information from the Unified State Register.
  9. Updating related documents, details, seal, banking and tax data where necessary.

Documents and information required from the client

  • current version of the charter in electronic format;
  • information about the participants or shareholders of the legal entity;
  • passport details and taxpayer numbers of individual participants, or registration codes of legal entity participants;
  • desired new full and abbreviated name in Ukrainian;
  • if necessary, the name in English or another foreign language;
  • information about the director and current registration data of the company;
  • power of attorney or other representation documents if the documents are submitted through a representative.

Risks of mistakes when changing the name

  • refusal of state registration due to non-compliance of the name with legal requirements;
  • conflict with another person’s trademark;
  • errors in the charter, minutes, or registration application;
  • inconsistency of the name in corporate documents, bank documents, licenses, and contracts;
  • loss of time due to repeated document submission;
  • difficulties in further communication with banks, counterparties, tax authorities, or licensing authorities.

Official fees

Official payments depend on the type of registration action, the timeframe for completion, the form of submission, and whether notarization of signatures is required.

In 2026, the administrative fee for state registration of changes to information about a legal entity under the standard procedure is approximately UAH 1,000. Additional expenses may include notary services, registrar services, production of a new seal, renewal of electronic signature keys, and other related actions.
