Registration of an Individual Entrepreneur
VINCO’S Legal Company supports the registration of various forms of business in Ukraine, including individual entrepreneurs. This form is often chosen for small businesses, services, online projects, freelance work, trade, and other activities where quick launch, simpler administration, and a clear tax model are important.
At first glance, registering an individual entrepreneur may seem like a simple procedure. However, mistakes at the start may create problems after the business begins operating: incorrectly selected activity codes, an unsuitable tax group, restrictions on permitted activities, errors in tax applications, issues related to cash registers, VAT, employees, or relations with counterparties.
That is why it is important not only to file an application, but also to properly determine the entrepreneur’s operating model. VINCO’S helps clients register as individual entrepreneurs and organize the legal start of their business in a way that minimizes unnecessary risks.
What Is an Individual Entrepreneur?
An individual entrepreneur is a natural person who has completed state registration and has the right to conduct business activities. An individual entrepreneur is not a separate legal entity, but may enter into contracts, receive payments, hire employees, pay taxes, and carry out business activities within the selected activity codes and tax regime.
Citizens of Ukraine, foreign nationals, and stateless persons may register as individual entrepreneurs, provided that the requirements of Ukrainian law are met. In most standard cases, registration is available online, although some situations may require offline filing or representation under a power of attorney.
When Is This Form Suitable?
Registration as an individual entrepreneur may be a convenient solution when the business model does not require a complex corporate structure, investment arrangements, or distribution of shares between partners.
- consulting, professional, educational, IT, marketing, or household services;
- small retail or online trade;
- freelance work and cooperation with clients in Ukraine or abroad;
- testing a new business idea before establishing a company;
- a small business with predictable revenue and a clear expense structure.
At the same time, this form is not always suitable for large-scale business, investor relations, complex partnership models, high-risk activities, or areas where the law requires a legal entity or a special license.
Advantages of Registration
- fast and relatively simple state registration procedure;
- possibility to choose the general or simplified taxation system;
- fewer corporate documents compared to a limited liability company;
- simpler business administration;
- possibility to work independently or with employees depending on the selected tax group;
- convenience for small businesses, services, freelance work, and online projects.
Key Risks and Limitations
The main feature of an individual entrepreneur is personal liability. The entrepreneur is liable for obligations related to business activities with all personal property, except property that cannot be seized under the law.
It is also important to consider tax and operational limitations. Not all activities may be carried out under the simplified taxation system; different groups of single tax payers have different income limits, restrictions regarding clients, number of employees, and types of activities. Certain transactions may also require use of a cash register or software cash register, obtaining licenses, or VAT registration.
Tax Regime
When registering as an individual entrepreneur, it is necessary to choose a tax regime. An entrepreneur may operate under the general taxation system or choose the simplified taxation system if the statutory requirements are met.
For small businesses, the 1st, 2nd, or 3rd group of single tax payers is most often considered. The 4th group is mainly intended for agricultural producers and is not a universal option for most entrepreneurs.
In 2026, the maximum single tax rates for groups 1 and 2 depend on the subsistence minimum and the minimum wage. For group 3, the usual rates are 5% of income without VAT or 3% of income if the entrepreneur is registered as a VAT payer. The final choice of taxation depends on the type of activity, expected income, type of clients, need for VAT, and future operating model.
What Should Be Determined Before Registration?
- main and additional business activity codes;
- taxation system;
- single tax group, if the simplified taxation system is selected;
- whether VAT registration is required;
- whether a cash register or software cash register is required;
- whether licenses or permits are required;
- whether employees will be hired;
- how contracts with clients and counterparties will be structured;
- whether the activity will involve import, export, or foreign currency income.
Documents Required
For standard registration, the required information usually includes passport data, taxpayer identification number, contact details, selected activity codes, and information on the chosen tax regime. For online registration, an electronic signature or another available electronic identification method is required.
If registration is carried out through a representative, a notarized power of attorney may be required. For foreign nationals or stateless persons, additional issues may arise regarding the taxpayer identification number, place of residence, and legal grounds for staying in Ukraine.
