Registration of a Foreign Representative Office in Ukraine

Entering the Ukrainian market requires a properly structured legal model of presence. What Is a Foreign Representative Office?

A representative office of a foreign company is a separate subdivision of a non-resident legal entity located in Ukraine and acting in the interests of the parent company.

A representative office is not a separate legal entity. It operates on the basis of regulations approved by the foreign company and within the powers granted to its head by a power of attorney or another document issued in accordance with the laws of the parent company’s jurisdiction.

After state registration, information about the representative office is entered into the Unified State Register of Legal Entities, Individual Entrepreneurs and Public Formations. This allows the representative office to be officially identified in Ukraine, open bank accounts, employ staff, and interact with banks, counterparties, and public authorities.

Commercial or Non-Commercial Representative Office: Which Model to Choose?

Before registration, it is important to determine which functions the representative office will perform in Ukraine.

A non-commercial representative office is usually used to represent the interests of the parent company, search for partners, conduct negotiations, provide marketing support, coordinate projects, and communicate with clients or public authorities without independently conducting business activities.

A commercial representative office or activity that effectively creates a permanent establishment of a non-resident in Ukraine may have tax consequences, including tax registration, reporting, corporate income taxation, possible VAT registration, and other obligations.

Therefore, at the outset it is necessary to correctly determine the business model, powers of the head of the representative office, types of transactions, tax status, and scope of functions.

When Is It Advisable to Register a Foreign Representative Office?

Registration of a foreign representative office may be advisable if a foreign company plans to:

  • enter the Ukrainian market without establishing a separate Ukrainian legal entity;
  • represent the interests of the parent company in Ukraine;
  • negotiate with Ukrainian partners, clients, or public authorities;
  • organize marketing, consulting, or coordination activities;
  • employ staff in Ukraine;
  • open bank accounts for the representative office;
  • support import, export, service, technical, or investment projects;
  • operate in Ukraine through a structural subdivision of the parent company.

What Has Changed in the Registration Procedure?

Since 2024, the procedure for registering foreign representative offices has been significantly updated. Instead of the old registration model through the Ministry of Economy, the procedure now involves state registration of a separate subdivision of a foreign legal entity with entry of information into the Unified State Register.

Registration is carried out by a state registrar or a notary within the administrative-territorial unit where the subdivision is located.

The standard registration period is 5 business days. The official administrative fee for registration of a separate subdivision of a foreign legal entity is 1 subsistence minimum for able-bodied persons established as of 1 January of the relevant year, rounded to the nearest 10 hryvnias.

As of 2026, this fee is approximately UAH 3,330, since the subsistence minimum for able-bodied persons as of 1 January 2026 is UAH 3,328.

What Documents Are Required for Registration?

The list of documents depends on the jurisdiction of the parent company, its legal form, ownership structure, type of representative office, and business model in Ukraine.

Typically, the following documents are required:

  • application for state registration of the creation of a separate subdivision;
  • decision of the foreign company to establish a representative office in Ukraine;
  • document confirming registration of the foreign legal entity in its country of incorporation;
  • regulations on the representative office or another constitutive document of the separate subdivision;
  • power of attorney for the head of the representative office or the representative filing the documents;
  • ownership structure of the foreign legal entity, where such information must be submitted to the Unified State Register;
  • documents relating to ultimate beneficial owners, where required by law;
  • document confirming payment of the administrative fee;
  • Ukrainian translations of documents with notarization;
  • apostille or consular legalization of documents, if required depending on the country of origin.

Employees of registered foreign representative offices may work without obtaining a separate work permit for foreigners, provided that this is consistent with applicable law. At the same time, such employees may need a temporary residence permit or other migration documents for lawful stay in Ukraine.
