A limited liability company, or LLC, is one of the most common legal forms for doing business in Ukraine. This format is suitable for small, medium-sized, and large businesses, joint projects involving several partners, investment structures, trade, manufacturing, IT, consulting, import, export, and other areas of activity.
However, LLC registration is not merely a technical entry in the Unified State Register. At the start, it is important to correctly determine the ownership structure, participants’ shares, tax system, business activity codes, management procedure, powers of the director, provisions of the charter, and other terms that will affect the company’s future operations.

What Is an LLC?
An LLC is a legal entity whose charter capital is divided into shares among its participants. LLC participants may be individuals or legal entities, residents or non-residents of Ukraine, unless otherwise provided by law.
The key advantage of an LLC is that its participants generally bear the risk of losses within the value of their contributions to the charter capital. When Should You Choose an LLC?
An LLC is usually appropriate when a business plans to work with counterparties, hire employees, enter into significant contracts, import or export goods, attract investors, obtain licenses, work with VAT, or build a partnership model involving several participants.
Unlike a sole proprietorship, an LLC is better suited for businesses where it is necessary to formalize relations between partners, allocate shares, define the decision-making procedure, and create a clearer corporate structure for banks, investors, counterparties, and public authorities.
What Should Be Determined Before LLC Registration?
Before submitting documents for registration, it is important not to limit preparation to choosing the company name. Proper preparation helps avoid tax, corporate, and operational risks in the future.
Before registering an LLC, it is necessary to determine:
- the full and abbreviated company name;
- the registered address of the company;
- the composition of participants;
- the amount of charter capital;
- the size of each participant’s share;
- the terms and procedure for making contributions;
- the director of the company and the scope of his or her powers;
- business activity codes according to the actual business model;
- the tax system;
- whether VAT registration is required;
- the need for licenses, permits, or special approvals;
- the ownership structure and ultimate beneficial owners;
- whether the company will operate on the basis of the model charter or its own charter.
Model Charter or Individual Charter?
An LLC may operate on the basis of a model charter or its own individual charter.
A model charter may be a convenient solution for simple business models, especially if the company is established by one participant or the participants do not require complex corporate regulation. Registration of an LLC on the basis of the model charter may be completed online through Diia.
An individual charter is advisable when the participants need to regulate in detail the management procedure, withdrawal from the company, disposal of shares, holding of general meetings, powers of the director, restrictions on significant transactions, distribution of profit, or other important corporate matters.
Important. For companies with several participants, investors, a complex ownership structure, or increased risk of corporate conflict, an individual charter is often a safer instrument than a standard model version.
Charter Capital and Participants’ Shares
The charter capital of an LLC consists of the nominal value of the shares of its participants. The size of a share may also be determined as a percentage, but it must correspond to the ratio of the nominal value of the share to the total amount of charter capital.
A participant’s contribution may be made in money, securities, or other property, unless otherwise provided by law. If a contribution is made in non-monetary form, it requires monetary valuation approved by the founders or participants.
As a general rule, each participant must fully make their contribution within six months from the date of state registration of the company, unless another term is provided by the charter.
Tax System for an LLC
One of the key stages before LLC registration is choosing the correct tax system. A mistake at this stage may make the business model less profitable or create issues with counterparties, import operations, VAT, accounting, or tax planning.
Depending on the type of activity, an LLC may operate under the general taxation system or the simplified taxation system if the business meets the applicable requirements. It is also necessary to determine whether the company needs VAT registration.
For example, if an LLC plans to import goods, work with large counterparties, or sell goods and services to VAT payers, the VAT issue should be analyzed before registration, not after the first contracts have been signed.
Business Activity Codes
Business activity codes must correspond to the company’s actual activities. Incorrect or incomplete selection of activity codes may create problems when opening a bank account, working with a bank, participating in tenders, obtaining licenses, passing customs procedures, or interacting with tax authorities.
When selecting activity codes, it is important to take into account not only the current activities but also the company’s near-term plans: import, export, online sales, manufacturing, consulting, IT services, agency activities, leasing, logistics, or other areas.
What Documents Are Required for LLC Registration?
The list of documents depends on the method of registration, the number of participants, the ownership structure, the presence of non-residents, the choice of a model or individual charter, and other circumstances.
As a rule, the following documents are required for LLC registration:
- application for state registration of a legal entity;
- decision of the founder or minutes of the general meeting of founders;
- charter or decision to operate on the basis of the model charter;
- ownership structure;
- information on ultimate beneficial owners;
- passport details and taxpayer identification numbers of participants and the director;
- documents relating to a foreign founder, if a participant is a non-resident;
- power of attorney or another document confirming the authority of the representative, if documents are submitted by a representative;
- applications or indications regarding the selected tax system or VAT registration, if necessary.
LLC Registration Timeline
In standard state registration of a legal entity, documents are reviewed within 24 hours after receipt, excluding weekends and public holidays. The actual timeline depends on the method of submission, completeness of documents, ownership structure, and possible additional checks.

Formally, an LLC can now be registered quite quickly. However, fast registration does not mean that the company has been created correctly from a legal, tax, and corporate perspective.
The most common risks include:
- incorrectly selected tax system;
- absence of or delayed VAT registration;

- the charter does not reflect the actual arrangements between the participants;
- the procedure for withdrawal of a participant is not regulated;
