Joint-Stock Company Registration
A joint-stock company is a legal form suitable for large-scale projects, investment structuring, corporate governance, share issuance, and further business development through capital markets.
Unlike a limited liability company, the creation of a joint-stock company requires not only state registration of the legal entity but also proper organization of share issuance, interaction with the National Securities and Stock Market Commission, the depositary system, banks, tax authorities, and other participants involved in the process.
VINCO’S Legal Company provides comprehensive support for joint-stock company registration: from the initial consultation and selection of the corporate structure to document preparation, share issue registration, state registration of the company, and further legal support.
When Is a Joint-Stock Company the Right Choice?
A joint-stock company is appropriate when a business requires a more complex corporate structure, the possibility of attracting investors, the distribution of corporate rights through shares, or preparation for future scaling.
- implementing a large investment or infrastructure project;
- structuring the rights of several investors through shares;
- raising financing through an additional issue of shares;
- creating a business with a formalized corporate governance system;
- preparing the company for cooperation with professional investors, funds, or strategic partners;
- reorganizing an existing LLC or other business entity into a joint-stock company.
Private and Public Joint-Stock Companies
Ukrainian law provides for two types of joint-stock companies: a private joint-stock company and a public joint-stock company.
Private Joint-Stock Company
A private joint-stock company is generally used for businesses with a limited number of shareholders. At the stage of establishment, shares are placed among the founders, while further involvement of investors must comply with legal requirements, the charter, and securities issuance procedures.
Public Joint-Stock Company
A public joint-stock company may make a public offering of its own shares. If a private joint-stock company intends to make a public offering of its shares, it must adopt a decision to change its type from private to public.
Important: in practice, establishing a joint-stock company requires prior assessment of the business model. Not every project needs this legal form. In many cases, an LLC is sufficient, but for investment, financial, corporate, or regulated projects, a joint-stock company may be the most appropriate structure.
Charter Capital of a Joint-Stock Company
The minimum charter capital of a joint-stock company is 200 minimum monthly wages, calculated based on the minimum wage effective on the date of creation and state registration of the company.
As of 2026, the minimum monthly wage in Ukraine is UAH 8,647. Therefore, the minimum charter capital of a joint-stock company in 2026 is UAH 1,729,400.
It is important not only to determine the formal amount of charter capital but also to properly describe the number of shares, the nominal value of each share, the procedure for their payment, the ownership structure, and the future rights of shareholders.
Can a Joint-Stock Company Have One Founder?
Yes. A joint-stock company may be established by one person or may have a sole shareholder if one person acquires all shares of the company.
However, a single-shareholder structure also requires proper formalization of corporate decisions, share issuance, depositary accounting, the charter, and further compliance with the obligations applicable to joint-stock companies.
What Should Be Determined Before Registration?
- the type of joint-stock company and whether this form is appropriate;
- the number of founders and the future shareholder structure;
- the amount of charter capital;
- the number, type, and nominal value of shares;
- the procedure for payment of shares by the founders;
- the governing bodies of the company;
- one-tier or two-tier corporate governance structure;
- the candidate for director or another executive body;
- whether a supervisory board is required;
- the depositary institution and the procedure for accounting rights to shares;
- the future tax model of business operations;
- business activity codes, licenses, permits, and other regulatory requirements.
Main Stages of Joint-Stock Company Registration

Reorganization of an LLC into a Joint-Stock Company
An existing limited liability company may be reorganized into a joint-stock company by transformation. This procedure is more complex than standard registration because it requires corporate decisions, notification of creditors, preparation of a transfer deed, state registration of termination of the previous legal entity, and creation of the new joint-stock company as its legal successor.
It is also necessary to ensure proper share issuance, registration of the share issue, depositary accounting, and further compliance with the requirements applicable to joint-stock companies.
Risks of Registering a Joint-Stock Company Without Professional Support
- incorrect choice between an LLC, private joint-stock company, and public joint-stock company;
- incorrect determination of charter capital;
- errors in the decision on share issuance;
- errors in the charter and corporate structure;
- failure to take into account the requirements of the regulator and the depositary system;
- violation of the procedure for payment of shares;
- risk of refusal to register the share issue;
